These Terms govern your use of the SDK Pay LLC website and your engagement of our software development services (the "Services"). SDK Pay LLC is a Montana LLC (File #C1560715-16749649) headquartered at 1001 South Main Street, Suite 500, Kalispell, MT 59901. By using our website or engaging our Services, you agree to these Terms.
SDK Pay provides custom software development services for payment and fintech applications, including but not limited to: digital wallet platform development, API and backend engineering, KYC/AML compliance system development, ledger and account systems, payment rails integration, and related consulting and support services.
You agree to: provide accurate and timely information and materials required for project execution, designate authorized representatives for project communication and approvals, make payments according to the agreed schedule, and comply with applicable laws in your use of the software we develop.
Unless otherwise specified in a project agreement: client-specific deliverables are assigned to the client upon full payment, SDK Pay retains ownership of pre-existing tools, libraries, and frameworks, and SDK Pay retains the right to use general knowledge and techniques gained during the engagement.
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement.
Fees are defined in individual project agreements. Unless otherwise stated: invoices are due within 30 days, late payments accrue interest at 1.5% per month, and the client is responsible for applicable taxes.
SDK Pay warrants that Services will be performed in a professional and workmanlike manner. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.
SDK PAY'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL SDK PAY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Either party may terminate an engagement with 30 days written notice. Upon termination, the client pays for all work completed and expenses incurred.
These Terms are governed by Montana law. Disputes shall be resolved in Flathead County courts.
